Terms of Advisory Service

1. Overview & Acceptance of Terms

These Terms of Advisory Service (“Terms”) constitute a legally binding agreement between you (“Client” or “User”) and Cloud Vertex Hub Co., Ltd. (“Company”, “we”, “us”, or “our”), registered in Thailand with principal office at Office 10, 48 Sample Avenue, Chiang Rai 00000, Thailand.

By accessing this website, requesting a consultation, or executing a Statement of Work (SOW) for mobile telemetry auditing and advisory services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Nature of Advisory Engagements

Cloud Vertex Hub Co., Ltd. provides specialized technical consulting, code-level static and dynamic telemetry audits, zero-knowledge event taxonomy architecture, and store compliance documentation for mobile applications.

• Independent Professional Services: All engagements are provided as expert technical evaluations based on the state of the codebase, binaries, and documentation provided by the Client at the time of the audit.
• Statements of Work (SOW): Specific deliverables, timelines, access prerequisites, and milestone fees are defined in individualized Statements of Work executed prior to codebase onboarding.
• Non-Legal Counsel Notice: While our audits evaluate compliance alignment with Apple App Store review guidelines, Google Play policies, and general technical privacy principles, our reports and deliverables constitute technical architecture advisory, not formal legal counsel.

3. Intellectual Property Rights

• Client Intellectual Property: The Client retains all exclusive rights, title, and ownership in and to its proprietary source code, binaries, trademarks, and trade secrets shared during an engagement.
• Audit Deliverables & Remediation Code: Upon receipt of full payment for an engagement, the Client receives an irrevocable, worldwide, perpetual license to use, modify, and distribute all customized remediation patches, configuration manifests, and written audit reports generated for the Client.
• Company Proprietary Frameworks: Cloud Vertex Hub Co., Ltd. retains ownership of its underlying audit methodologies, general testing scripts, diagnostic testbeds, and proprietary analysis tools developed independently of specific Client codebases.

4. Confidentiality & Mutual Non-Disclosure

We recognize the sensitive nature of mobile source code and proprietary architectures:

• We enforce strict confidentiality on all source code repositories, binary archives, and technical documentation received.
• All client repositories are accessed exclusively over encrypted channels, stored on encrypted local workstations during the active audit window, and permanently deleted within thirty (30) days following project sign-off.
• Standard engagements are preceded by the execution of a bilateral Non-Disclosure Agreement (NDA).

5. Limitation of Liability

To the maximum extent permitted by applicable law in Thailand:

• In no event shall Cloud Vertex Hub Co., Ltd., its directors, officers, or engineers be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to an engagement.
• The total aggregate liability of the Company for any claims arising out of an engagement shall be strictly limited to the total fees actually paid by the Client to the Company under the applicable Statement of Work in the twelve (12) months preceding the claim.

6. Governing Law & Dispute Resolution

These Terms and any dispute arising from advisory engagements shall be governed by and construed in accordance with the laws of the Kingdom of Thailand (TH), without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the competent courts of Chiang Rai, Thailand.
